This DPA (“Agreement”) governs Personal Data processing between Customer (“Controller”) and Gina's Physical Health Alternatives, LLC, a Florida limited liability company (“Processor”), in accordance with GDPR, UK GDPR, CPRA, and global privacy laws.

1. Definitions

Terms follow GDPR Article 4, CPRA, and globally aligned definitions.

2. Roles and Responsibilities

  • The Controller determines the purposes and means of processing.
  • The Processor executes processing solely in accordance with the Controller’s documented instructions.

3. Subprocessors

Gina's Physical Health Alternatives, LLC may use subprocessors, including:

  • CRM and Business Infrastructure
  • SMS/MMS and Telecommunications carriers
  • Email delivery providers
  • Payment processors
  • Cloud hosting and data storage infrastructure

4. International Transfers

  • Standard Contractual Clauses (SCCs)

  • Industry-standard encryption and access controls

8. Audits

Controller may perform an annual audit with 30 days' written notice. Results are limited to necessary security information and must maintain Processor confidentiality.

9. Return or Deletion of Data

  • Primary data deleted within 90 days after account termination.
  • Backups deleted within 180 days.

10. Liability

Liability limits match those in the Terms of Service and apply equally to this DPA.

11. Governing Law

This DPA is governed by the laws of the State of Florida, USA, unless superseded by mandatory GDPR requirements.
